Adapy Smart Mobility System Warranty Agreement

This Warranty Agreement (“Agreement”) is entered into between the purchaser (“Customer”) and Adapy™, Inc. (“Adapy”), and applies to the Adapy Smart Mobility System (“Product”).

Warranty Period: Adapy warrants the Product against defects in materials and workmanship for one (1) year from the date of purchase.

Coverage:

• Hardware components of the Product are covered under this warranty.
• Software included with the Product may be subject to separate licenses or agreements.

Exclusions: This warranty does not cover:

• Damage resulting from accidents, misuse, or external causes.
• Unauthorized modifications, repairs, or failure to follow provided instructions.
• Normal wear and tear or cosmetic damage not affecting product functionality.

Customer Responsibilities: To qualify for warranty service, the Customer must:

• Register the Product with Adapy within 30 days of purchase.
• Retain proof of purchase (receipt or invoice).
• Cover shipping costs associated with warranty service.

Warranty Service:

• If a defect is confirmed, Adapy will, at its discretion, repair or replace the defective Product or component.
• Replacement parts may be new or refurbished parts of equivalent quality and performance.

Limitation of Damages:

• Adapy’s liability under this Agreement is limited to the original purchase price of the Product.
• Adapy is not responsible for indirect, incidental, or consequential damages arising from the use of the Product.

Compliance with Federal Acquisition Requirements:

• This warranty meets all applicable requirements of the Federal Supply Schedule (FSS) contract standards, including but not limited to 48 CFR 552.246-73 and 48 CFR 52.212-4.
• Warranty services will be provided within a reasonable timeframe as required by the Veteran’s Administration and the General Services Administration (GSA).

Transferability:

• This warranty is transferable to subsequent owners of the Product, provided proof of original purchase and proper registration with Adapy.

Force Majeure:

• Adapy shall not be liable for delays or failure to perform warranty services due to circumstances beyond its control, including but not limited to natural disasters, pandemics, and acts of government authorities.

ADA Compliance and Critical Use Commitment:

• Adapy products are designed and manufactured to comply with the standards set forth under the Americans with Disabilities Act (ADA).
• Priority service will be provided for wheelchair users due to the essential nature of the Product.
• If the repair period exceeds 14 days, Adapy will offer loaner equipment to ensure continued mobility support.

Governing Law: This Agreement is governed by the laws of the state or country where the Product was purchased.

Modification of Agreement: Any amendments or modifications to this Agreement must be in writing and formally executed by both parties.

Severability: If any provision of this Agreement is found to be invalid or unenforceable, the remaining provisions will continue to apply.

Enhanced Warranty Options & Services: Adapy offers the following additional warranty services for an extra fee:

• Extended Warranty Plans: Optional extended coverage beyond the standard one-year warranty.
• Express Repair Service: Expedited repair service for a fee.
• Customer Education: Access to comprehensive guides and tutorials for proper Product use and maintenance.
• Regular Software Updates: Continued software updates to enhance functionality and security.
• Eco-friendly Disposal Service: Responsible disposal options for end-of-life Products.

By purchasing the Adapy Smart Mobility System, the Customer acknowledges and agrees to the terms of this Warranty Agreement and the Enhanced Warranty Options & Services offered by Adapy.
